The Board of Directors of Tan Chong Motor Holdings Berhad ("TCMH") informs that the Group has incorporated a new subsidiary named TC Automotive Electronics Sdn Bhd under the Companies Act, 1965 on 13 February 2012. TC Automotive Electronics Sdn Bhd is a wholly-owned subsidiary of TC Manufacturing Holdings Sdn Bhd, which in turn is a wholly-owned subsidiary of TCMH.

TC Automotive Electronics Sdn Bhd has an authorised capital of RM100,000/- made up of 100,000 shares of RM1/- each and an issued and paid-up capital of RM2/-. Its principal activity will be trading, assembling and manufacturing of automotive electronics components and systems.

The incorporation of the new subsidiary has no material effect on the earnings, gearing and net assets of the Group for the financial year ending 31 December 2012.
