Subject	TAN CHONG MOTOR HOLDINGS BERHAD RM600 MILLION NOMINAL VALUE ASSET-BACKED MEDIUM TERM NOTES PROGRAMME BY PREMIUM COMMERCE BERHAD
Contents	We refer to the announcements made by CIMB Investment Bank Berhad on behalf of Tan Chong Motor Holdings Berhad (“TCMH”) on 21 June 2004, 6 April 2005 and 20 May 2005 in relation to the RM600 million Medium Term Notes Programme (the “MTN Programme”) established by Premium Commerce Berhad (“PCB”). By letters dated 25 March 2009 and 1 April 2009, PCB had sought the consent of the Notes Trustee of the MTN Programme, Mayban Trustees Berhad (“MTB”) to amend the Relevant Documents to incorporate certain variations to the terms and conditions of the MTN Programme as set out below (“Proposed Variations”): 1. to include TC Capital Resources Sdn Bhd and such other company(ies) within the Group (“Additional Originators”) as shall be identified from time to time and acceptable to the Lead Arranger and notified to the Securities Commission as Originators under the MTN Programme and consequential changes pursuant thereto (e.g. inclusion of Additional Originators as Servicers). For this purpose, reference to the “Group” shall mean TCMH and its related corporations; 2. to extend the Availability Period from five (5) years from the date of the Issue Documents to ten (10) years from the date of consent of the Proposed Variations by MTB; and 3. to allow for Class A Notes and Class B Notes to be unrated for any Notes Series. We are pleased to announce that PCB has received the consent of MTB for the following: a) to amend the Relevant Documents to give effect to the Proposed Variations; and b) to amend the Memorandum and Articles of Association of PCB to give effect to the Proposed Variation (1) pursuant to Clause 10.2.3 of the Trust Deed dated 10 May 2005. Terms in relation to the MTN Programme shall have the meanings ascribed to them in the Master Definitions Schedule dated 10 May 2005. A copy of the letter of consent dated 15 April 2009 from MTB is attached.
