The Directors of the Company wish to inform that the Group has incorporated two subsidiaries with the following names to cater for the Group’s business needs:

1. TC Manufacturing Holdings Sdn Bhd ("TCMHSB") 10 July 2006
2. TC Insurservices Sdn Bhd ("TCI") 14 July 2006
TCMHSB and TCI each has an authorized capital of RM100,000/- made up of 100,000 shares of RM1/- each and an issued and paid-up capital of RM2/- made up of 2 ordinary shares of RM1/-. TCMHSB is a wholly-owned subsidiary of Tan Chong Motor Holdings Berhad ("TCMH") while TCI is wholly-owned by TC Capital Resources Sdn Bhd, a wholly-owned subsidiary of TCMH.
The above formation has no material effect on the earnings and net tangible assets of the Group for the financial year ending 31 December 2006.
None of the directors or substantial shareholders has an interest, direct or indirect, in the formation of the new companies.
