LISTING'S CIRCULAR NO. L/Q : 5075 OF 2000

Proceeds from the sale of the remaining 40,926,000 ordinary shares of RM1.00 each in APM Automotive Holdings Berhad ("APM") and 11,397,000 ordinary shares of RM1.00 each in Warisan TC Holdings Berhad ("WTCH") to Bumiputera investors approved by the Ministry of International Trade and Industry pursuant to the Proposed Autoparts Scheme and Proposed Non-Motor Scheme ("Proposed Schemes") of the Company more particularly set out in the circular to the shareholders dated 29 September 1999 and the resolutions of the shareholders of the Company passed at an extraordinary general meeting of the Company held on 14 October 1999.

A shareholder entitled to the special net cash dividend will receive on a pro-rata basis RM136.84 for every 1,000 ordinary shares of RM0.50 each held in the Company as at the entitlement date.

1) The above Company's securities will be traded and quoted [ "Ex - Dividend" ]
as from : [ 27 April 2000 ]

2) The last date of lodgement : [ 4 May 2000 ]
